GOVERNING TERMS FOR DISPUTE RESOLUTION UNDER YOUR AGREEMENT WITH HYTONE MERCHANTS PRIVATE LIMITED
Reference to Online Dispute Resolution
Notwithstanding anything to the contrary contained herein, any dispute, controversy and/or claim arising out of or relating to this Agreement, including its construction, interpretation, meaning, scope, operation, effect and/or validity (“Dispute”), shall be resolved by arbitration administered by an independent Online Dispute Resolution (“ODR”) institution selected from the list of ODR institutions made available on the website of Hytone Merchants Private Limited at www.hytonefinance.com, in accordance with the dispute resolution and arbitration rules of the institution so selected (“Rules”).

Reference to Online Dispute Resolution
The Parties agree that the arbitration shall be conducted before a sole arbitrator appointed in accordance with the Rules. The juridical seat of arbitration shall be Kolkata, India. The language of the arbitration shall be English, and the arbitration proceedings shall be governed by Indian law. The decision and award of the arbitrator shall be final and binding upon the Parties. Subject to the foregoing, the competent courts at Kolkata shall have exclusive jurisdiction.

Virtual Proceedings
The Parties agree that the arbitration proceedings shall ordinarily be conducted virtually through the online platform of the selected ODR institution. For this purpose, the email addresses and/or mobile numbers provided, available or otherwise referred to in this Agreement or the related loan documents shall be treated as valid contact details for service of notices and communications.
Virtual Proceedings
The Parties agree that the arbitration proceedings shall ordinarily be conducted virtually through the online platform of the selected ODR institution. For this purpose, the email addresses and/or mobile numbers provided, available or otherwise referred to in this Agreement or the related loan documents shall be treated as valid contact details for service of notices and communications.

Any question of construction, interpretation, scope or validity under the Agreement qualifies as a Dispute.
